Terms of Service

1. Acceptance of Terms

By accessing or using the GEXRadar platform, website, browser extension, indicator packages, or any associated products or services (collectively, the "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms in their entirety, you must not access or use the Service. These Terms constitute a legally binding agreement between you and GEXRadar LLC, a Wyoming limited liability company, with its principal office at 30 North Gould Street, STE N, Sheridan, WY 82801.

2. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are 18 years of age or older and have the full legal capacity to enter into a binding contract. GEXRadar reserves the right to request proof of age at any time and to immediately terminate accounts where this requirement is not met.

You represent that you are not located in, and are not a resident or national of, any country or territory subject to comprehensive U.S. government sanctions administered by the Office of Foreign Assets Control (OFAC), including but not limited to: Iran, North Korea, Cuba, Syria, Russia, Belarus, and the Crimea, Donetsk, and Luhansk regions. Use of the Service from any such jurisdiction is strictly prohibited and constitutes a material breach of these Terms.

3. Account Registration

To access the Service, you must create an account using a valid email address, a display name (username), and a password of your choosing. You may update your display name at any time through your account settings. Your display name is not publicly visible to other users.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify GEXRadar immediately at [email protected] if you suspect any unauthorized access to or use of your account.

Accounts are strictly personal and non-transferable. You may not share, sell, sublicense, lend, or otherwise provide access to your account or credentials to any third party under any circumstances. Each subscription is licensed to a single named user only.

4. Subscriptions and Billing

4.1 Subscription Plans

GEXRadar offers the following subscription plans:

• Monthly Plan: $49.99 per month, billed monthly
• Annual Plan: $449.99 per year, billed annually
• All prices are in U.S. dollars.

The GEXRadar TradingView browser extension and Pine Script indicator are included with every active subscription at no additional charge. The GEXRadar indicator packages for NinjaTrader 8, ATAS, MotiveWave, Sierra Chart, and Quantower are available as an optional add-on for an additional $15.00 per month on top of your base subscription. All prices across the GEXRadar platform, including the add-on fee, are subject to change at any time, except as expressly limited by the Price Lock Guarantee in Section 5. Any price change will not take effect until your next billing period.

4.2 Free Trial

GEXRadar may offer a one (1) day (24-hour) free trial for first-time eligible subscribers. The trial period begins at the time of account activation. After the 24-hour trial period expires, your payment method on file will be automatically charged for the applicable subscription fee.

The free trial is available only once per user. For eligibility purposes, a "user" is identified by email address. If we determine that your email address was previously associated with a free trial or active subscription — whether through our native platform (Stripe) or any third-party distribution platform (including but not limited to Whop) — you will be charged immediately upon subscription without any trial period. This anti-abuse policy applies across all plans: use of a free trial on any plan makes you ineligible for a trial on any other plan.

4.3 Payment Processing

Payments on the GEXRadar website are processed through Stripe. Legacy subscribers who joined through Whop continue to be billed through Whop. GEXRadar does not store or have direct access to your full payment card details. Billing information is managed by the applicable payment processor in accordance with their respective terms and privacy policies.

4.4 Renewals and Cancellations

All subscriptions automatically renew at the end of each billing period unless cancelled prior to renewal. You may cancel at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current paid period. You retain access to the Service through that date.

4.5 Billing Disputes

If you believe you have been charged in error, you must contact us at [email protected] within 30 days of the charge. We will investigate and respond promptly. Initiating a chargeback or payment dispute with your bank or card issuer without first contacting GEXRadar may result in immediate account suspension.

5. Price Lock Guarantee

GEXRadar guarantees that the subscription rate you are charged at the time of your initial purchase will remain your rate for as long as your subscription remains active and in good standing — regardless of any future price increases GEXRadar may implement for new subscribers. This price lock applies to all subscribers, including those billing through Whop and Stripe.

The price lock applies solely to your current subscription plan (monthly or annual) and does not extend to any new products, premium tiers, additional features, upgraded plans, or optional add-ons (including the multi-platform indicator add-on described in Section 4.1) that GEXRadar may introduce or modify in the future. Access to new offerings, and the pricing of optional add-ons, will be priced separately and are subject to change. Your price lock is forfeited if your subscription lapses, is cancelled, or is terminated for any reason. Should you re-subscribe after a lapse, you will be charged at the then-current rate.

6. Refund Policy

ALL SALES ARE FINAL. GEXRadar does not issue refunds, partial refunds, prorated credits, or account credits under any circumstances. This no-refund policy applies to all subscription plans, add-ons, and billing periods, including but not limited to cancellations before the end of a billing period, non-use of the Service, dissatisfaction with features or data, and technical issues outside of GEXRadar's direct control. By subscribing, you expressly acknowledge and agree to this policy. Additional detail is set out in our standalone Refund & Cancellation Policy, which is incorporated into these Terms by reference.

7. Termination by GEXRadar

GEXRadar reserves the right to suspend or terminate your access to the Service and cancel your subscription at any time, for any reason or no reason, with or without prior notice. In the event GEXRadar terminates your subscription without cause, you will not be entitled to any refund for any unused portion of your subscription period.

Without limiting the foregoing, GEXRadar may immediately terminate your account without refund upon: violation of these Terms; suspected fraud, abuse, or unauthorized use; chargebacks or payment disputes; or any conduct GEXRadar determines, in its sole discretion, to be harmful to the platform, its users, or its business.

8. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You expressly agree not to:

• Share, sell, sublicense, or otherwise distribute your account credentials or access to any third party
• Use any automated tool, bot, scraper, spider, crawler, or other automated means to access, extract, collect, or harvest any data, content, or information from the Service
• Systematically download, cache, store, or redistribute any market data, GEX levels, options analytics, or other proprietary outputs from the Service
• Reproduce, republish, redistribute, resell, or commercially exploit any data, content, or output from the Service without express prior written permission from GEXRadar
• Attempt to reverse engineer, decompile, disassemble, or derive source code from any component of the Service
• Interfere with or disrupt the integrity, performance, security, or availability of the Service or related infrastructure
• Use the Service in any manner that imposes an unreasonable or disproportionate load on GEXRadar's systems
• Access the Service from any sanctioned country or territory as described in Section 2
• Circumvent, disable, or otherwise interfere with any access controls, authentication mechanisms, or technical restrictions of the Service
• Use GEXRadar data or outputs as the basis for any commercial data product, feed, or service
• GEXRadar reserves the right to suspend or permanently terminate accounts found in violation of these restrictions, without prior notice and without refund.

9. Intellectual Property

All content, data, software, branding, trademarks, trade dress, and materials made available through the Service — including but not limited to GEX calculations, analytics models, visualizations, the GEXRadar name and logo, and platform design — are the exclusive intellectual property of GEXRadar LLC or its licensors. Nothing in these Terms grants you any ownership interest or license beyond the limited right to access and use the Service for your own personal, non-commercial purposes during an active subscription.

The GEXRadar TradingView browser extension, the GEXRadar indicator packages for NinjaTrader 8, ATAS, MotiveWave, Sierra Chart, and Quantower, and any associated tools are licensed to you under the separate End User License Agreement (EULA) and the Extensions & Indicators Terms, each of which is incorporated into these Terms by reference.

Protected works include, without limitation: the platform's dashboards, charts, heatmaps, and 3D visualizations; the design and look-and-feel of the Service; the GEXRadar indicators and extensions for TradingView (browser extension and Pine Script), NinjaTrader 8, MotiveWave, ATAS, Sierra Chart, and Quantower; all software and source code; analytics outputs and derived levels; documentation and marketing materials; and the GEXRADAR name and logo. You may not copy, reproduce, distribute, publicly display, frame, mirror, scrape, or create derivative works from any of the foregoing, and you may not remove or alter any proprietary notices.

Copyright complaints and enforcement (DMCA). GEXRadar respects intellectual property rights and expects the same of others. If you believe material on the Service infringes your copyright, send a notice containing the elements described in 17 U.S.C. § 512(c)(3) to [email protected] with the subject line "DMCA", as further described in our DMCA / Copyright Policy. GEXRadar likewise enforces its own rights: unauthorized copies or clones of the Service or of any GEXRadar indicator or extension will be met with takedown notices to hosts, app stores, and marketplaces, and with legal action seeking injunctive relief, damages, and attorneys' fees where available. Circumventing license keys, obfuscation, or other access controls violates 17 U.S.C. § 1201 in addition to these Terms.

10. Data and Market Information

All options and equity data displayed through the Service is sourced from professional-grade, real-time market data feeds. Quotes, Greeks, and open interest update in real time during market hours. GEXRadar makes no warranty that market data is free from errors, delays, or omissions. Market data is provided for informational and educational purposes only and should not be relied upon for trade execution or investment decisions.

11. No Financial Advice

THE SERVICE IS PROVIDED STRICTLY FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. NOTHING ON THE GEXRADAR PLATFORM CONSTITUTES FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, OR ANY OTHER PROFESSIONAL FINANCIAL GUIDANCE. GEXRADAR DOES NOT RECOMMEND ANY SPECIFIC SECURITIES, OPTIONS, OR FINANCIAL INSTRUMENTS. ALL TRADING AND INVESTMENT DECISIONS ARE MADE SOLELY AT YOUR OWN RISK. CONSULT A LICENSED FINANCIAL ADVISOR BEFORE MAKING ANY INVESTMENT OR TRADING DECISIONS.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, OR NON-INFRINGEMENT. GEXRADAR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GEXRADAR LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR TRADING LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL GEXRADAR'S TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT YOU PAID TO GEXRADAR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. This limitation governs and controls over any different limitation stated in the EULA or the Extensions & Indicators Terms.

14. Indemnification

You agree to indemnify, defend, and hold harmless GEXRadar LLC and its members, managers, employees, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

15. Third-Party Services

The Service integrates with or links to third-party services including Stripe, Whop, TradingView, and the trading platforms supported by our indicator packages (NinjaTrader 8, ATAS, MotiveWave, Sierra Chart, and Quantower). GEXRadar is not affiliated with, endorsed by, or sponsored by any of them, and is not responsible for the practices, content, or terms of any third-party service. Your use of third-party services is governed solely by the applicable third-party terms and policies.

16. Account Inactivity

GEXRadar reserves the right to terminate accounts that have been inactive for a continuous period of 12 months or more. Prior to termination for inactivity, GEXRadar will make reasonable efforts to notify you via the email address associated with your account. Termination for inactivity does not entitle you to any refund of unused subscription fees.

17. Modifications to Terms

GEXRadar reserves the right to modify these Terms at any time. When material changes are made, we will update the effective date and may notify you via email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively through binding arbitration conducted in Sheridan County, Wyoming, under the rules of the American Arbitration Association. You waive any right to a jury trial and any right to participate in a class action lawsuit or class-wide arbitration.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, EULA, Extensions & Indicators Terms, DMCA / Copyright Policy, Financial Disclaimer, Cookie Policy, Affiliate Program Terms, and Accessibility Statement, constitute the entire agreement between you and GEXRadar with respect to the Service and supersede all prior agreements and understandings. In the event of a conflict among these documents with respect to a specific subject, the document most specific to that subject controls, except that the Limitation of Liability in Section 13 of these Terms controls over any different liability limitation in any other document.
